ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On September 12, 2006, the Compensation Committee of the Board of Directors of White Electronic Designs Corporation approved the grant of 40,000 options to Roger A. Derse, Chief Financial Officer. The options were granted at $4.70, the closing price of the stock on September 12, 2006 and vest 25% after one year and ratably thereafter over the following 36 months.
