Item 7.01. Regulation FD Disclosure
On February 28, 2014, Eagle Rock Energy Partners, L.P. (the “Partnership”) and Regency Energy Partners LP ("Regency") issued a press release announcing the receipt of a request for additional information and documents from the Federal Trade Commission in connection with the proposed contribution of the Partnership's Midstream Business to Regency. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
The information in Item 7.01 of this Current Report on Form 8-K is being “furnished” and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section, and is not incorporated by reference into any Partnership filing, whether made before or after the date hereof, regardless of any general incorporation language in such filing.
Item 8.01. Other Events
On February 28, 2014, the Partnership and Regency issued a press release announcing the receipt of a request for additional information and documents from the Federal Trade Commission in connection with the proposed contribution of the Partnership's Midstream Business to Regency. A copy of such press release is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
