Item 8.01 Other Events
On April 23, 2014, Eagle Rock Energy Partners, L.P. (the “Partnership”) issued a press release announcing, among other things, preliminary financial results and the suspension of its cash distribution for the quarter ended March 31, 2014 in order to preserve liquidity in advance of closing the contribution of its Midstream Business to Regency Energy Partners LP. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
