Item 2.02. Results of Operations and Financial Condition.
On August 20, 2009, AdEx Media, Inc. (the “Company”) issued a press release announcing financial results for its second fiscal quarter ending June 30, 2009.
A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

On August 20, 2009, the Company issued a press release announcing financial results for its second fiscal quarter ending June 30, 2009 and also that the Company will host an investor conference call on Wednesday, August 26, 2009 regarding these respective financial results.
