Item 1. Description of Registrant’s Securities to be Registered
The securities to be registered hereby are the Units of Limited Partner Interests (the “Units”) in LEAF Equipment Finance Fund 4, L.P., a Delaware limited partnership (the “Partnership”). A description of the Units is set forth in the Partnership’s prospectus dated August 12, 2008, and the Partnership’s Amended and Restated Agreement of Limited Partnership (the “Partnership Agreement”), attached as Exhibit 3.1 hereto. The Partnership’s prospectus was filed with the Securities and Exchange Commission on August 19, 2008.
