Explanation of Responses:

1. This amendment is being filed to delete the previous amendment filed on March 20, 2020. The amount of securities disposed on March 1, 2020 as payment of the reporting person's tax obligation was in fact 1,964 shares as originally reported (not 3,381 shares). The original Form 4 filed on March 3, 2020 is correct, and the subsequent amendment filed on March 20, 2020 should be disregarded.
