Explanation of Responses:

1. These shares were withheld upon vesting of restricted shares in order to enable the reporting person to satisfy tax withholding obligations that arose upon such vesting, which will be paid by issuer to the appropriate taxing authority in cash.

2. Of the securities referenced in Column 5, 2,706,792 shares of common stock are held by Perugia Investments L.P., 1,502,396 shares of common stock are held directly by Mr. Ormand, and 40,000 shares of common stock are held by the Bruin Trust, an irrevocable trust managed by Jerry Ormand, Mr. Ormand's brother, as trustee and whose beneficiaries include the adult children of Mr. Ormand.
