Based upon the foregoing, we are of the opinion that the Issued Shares have been duly authorized and validly issued and are fully paid and non-assessable, and the Underlying Shares initially issuable upon conversion of the Preferred Shares have been duly authorized and reserved for issuance, and, when the Company’s stockholders have duly approved the conversion of the Preferred Shares into the Underlying Shares and the Preferred Shares have been duly converted into the Underlying Shares, the Underlying Shares will be validly issued, fully paid and non-assessable.
We are members of the bar of the State of New York. We do not express any opinion herein on any laws other than the Delaware General Corporation Law.
We hereby consent to the filing of this opinion as Exhibit 5.1 to the Registration Statement. We also hereby consent to the reference to our firm under the heading “Legal Matters” in the prospectus constituting part of the Registration Statement. In giving such consent, we do not thereby admit that we are in the category of persons whose consent is required under Section 7 of the Act.
