On March 27, 2014, Ms. Hanying Li resigned as our Chairperson and CEO for health-related reasons. Ms. Li will continue to serve as a director.
On March 28, 2014, our Board of Directors appointed Mr. Ping Wang as Chairman, CEO and a director.
Mr. Wang , age 50, has served as Chairman of Aoxin Holdings Co., Ltd., a leading industrial park developer and operator headquartered in Beijing, since July 2012. From January 2009 to June, 2012, Mr. Wang was the chairman of Hubei Aoxin Sci-Tech Group; From January 2002 to December, 2008, Mr. Wang was the chairman of Wuhan Aoxin Investment Guarantee Co., Ltd. Mr. Wang holds a Master’s degree in Finance from Wuhan University of China.
Mr. Wang owns 3 million of our common shares which he purchased in a private placement consummated on March 26, 2014, representing approximately 17.68 % of our outstanding common shares.
Item 7.01 Regulation FD Disclosure.
On March 31, 2014, we issued a press release announcing the resignation of Ms. Hanying Li as Chairperson and CEO and the appointment of Mr. Ping Wang as Chairman, CEO and a director. A copy of the press release is attached hereto as Exhibit 99.1.
