SteveSmith Consultant AgreementwithCo-Signer,Inc.
ThisAgreement,effective asofJanuary2, 2014(hereinafter“EffectiveDate”, isbetweenCo-Signer,Inc.anditssubsidiaries andaffiliatedentities,(hereinafterthe“Company”)andMr.SteveJ. Smith,(hereinafter the“Consultant”)whohereby agreesto provide consultingservices asfollows:
1. ScopeandDuties. ConsultantshallprovideCompanywithconsultingservicesonanon-exclusive basisasdefined inScheduleA.
2. TermofAgreement.TheCompanyshallretainConsultanttoprovideits non-exclusiveconsultingservicestotheCompanyandConsultantherebyagreestoprovidesuchnon-exclusive consultingservicestothe Companyduringtheterm (the“Term”)commencingon theEffectiveDateandendingonthefirstanniversaryofsuchdate,andautomaticallyrenewingforatwelve(12)month termthereafter,subject tocancellation uponthirtyday writtennoticebyeitherparty.Termination shallnotaffect theobligationof theCompanytocompensate theConsultantwithfeespayableundersection 4andScheduleB.
3. PersonalServices. Consultantshall providethe servicesdescribedinthisAgreementpersonallyandnotthroughany otheraffiliatedpersonor entity,employee,subcontractoror agentofConsultantwithoutthe express priorwritten consentofthe Company.
4. RemunerationtoConsultant.AsfullandtotalconsiderationforConsultant’sservicesdescribed herein, the Company shall:
a. CompensatetheConsultantforanycorporatemarketingandbusinessconsultingactivitythatthe Companyundertakes as setforthinScheduleB., attached heretoandmade apart hereof:
b. ReimburseConsultant foranyout-of-pocketexpensesthathave beenpre-approvedbythe CompanyduringtheTerm forexpensesactuallyincurredbyConsultantinconnectionwiththeperformanceof Consultant’sservicesonbehalf of the Companyhereunder.
5. IndependentContractor. ConsultantandCompanyacknowledgethatConsultantisanindependentcontractorandshallneitherbeconstruednorrepresentedtobeanemployeeofCompany.Itisagreedandunderstood,subjecttoanyseparateconfidentialityagreementwiththe Company,thatConsultantreservestheright, as anon-exclusiveengagement,toengageinotherconsultingactivities eitheronits ownbehalforonbehalfofotherpersonsorentitiesbywhomConsultantmaybeengaged eitherduring or followingthe termsofthis Agreement.
6. General.
6.1 EntireAgreement.Eachpartyacknowledges thatithasread thisAgreement,understandsit, andagreestobeboundbyitsterms,andfurtheragreesthatthisAgreement(includingtheaccompanyingSchedulesattached hereto)embodiesthecompleteandexclusivestatementoftheagreementbetweentheparties,which supersedesand replacesall priorproposals,understandings and all otheragreements,oral and written, between the parties.
6.2 BindingEffect. ThisAgreementshallbind andinuretothe benefitoftheparties, theirrespectiveheirs, personal representatives, subsidiaries, legal successorsandassigns.
6.3 Severability.If anypartsofthisAgreementare foundtobevoid orunenforceable,theremainingprovisionsshall nevertheless be bindingwiththe same effect as though the void partswere deleted.
6.4 Governing Law.ThisAgreementandperformancehereundershallbegovernedbythelawsoftheState of Nevada, in the jurisdiction of ClarkCountyforall courtsystemstherein.
6.5 GrammaticalUsage.InconstruingthisAgreement,femininepronounsshallbesubstituted forthosemasculinein form(andviceversa), andpluraltermsshall besubstitutedforsingularandsingularforplural,inanyplace where the contextsorequires.
6.6 Captions.The captionstothisAgreementareinserted onlyforpurposesof convenientreferenceandinnowaydefine,limit or prescribethe scopeorintent of this Agreement orany parthereof.
6.7 Counterparts.ThisAgreementmaybeexecutedinseveralcounterparts,eachofwhichshallbeconsideredalegaloriginalforallpurposes.Anyfullysignedcounterpartmaybeintroducedintoevidencein anyactionor proceeding withouthavingto producetheothers.
6.8 Modification or Waiver.
(a) Modification.This Agreementmayonlybechanged,modifiedorrescindedbywritteninstrument signedbyall parties.
(b) Waiver.Any waiverof thisAgreementshallnotbeeffectiveunlessmade inawritingsignedbythepersonagainstwhomtheenforcementofsuch waiverissought.Awaivergiveninanycaseshallonly applytothatparticularactoromission,and shallnotbeeffectiveastofurtheractsor omissions, regardlessof whethertheyareof the same or similarnature.
6.9 Notices.Allnotices requiredtobegivenpursuantheretoshall begiventothepartiesattheiraddressessetforthherein,oratsuch otheraddressesapartymayspecify forareceipt ofnotice.Allnotices willbedeemedsufficiently givenif:(i)sent byFederalExpressor otherovernightcourierservice providingwrittenevidenceofdelivery;(ii)ifbyregistered orcertifiedmail,postageprepaid, returnreceipt requested; (iii) or sent by facsimileandconfirmedbyfirst classmail.

6.10 LegalFees. Intheeventof anylegalactionor arbitrationinvolvingthisAgreement, theprevailingpartyinsuch proceedingshallbeentitledtoanawardofreasonableexpenses,includingattorney’sfees,disbursementsand expensesofexperts,asmaybeawardedbytheCourt orbytheArbitrationpanelinits determination.
6.11 Arbitration.The Partiesspecificallyagreethat anycontroversyor dispute whichmayarise betweenthebuyerandseller concerninganytransaction ortheconstructionor breachofthisagreementshallbesettledbyarbitration. Anyarbitrationshallbe pursuanttotherules thenapplyingtoJAMS/Endispute (“JAMS”),excepttothe extentsetforthherein.Thearbitrationpanelshallconsist ofatleastthree (3)individuals,with atleastonehavingknowledgeof investmentandadvisoryactivities. ThePartiesagree that any arbitrationproceedingpursuant to thisprovision shall beheld in alocation asdetermined by therulesof JAMS.Thewardof thearbitratorshall be final andbinding on theParties andjudgment uponthe awardrendered may beentered into in anycourt, state or federal havingjurisdiction.
The agreementto arbitratedoes notentitle thePartiestoobtainarbitrationofclaimthatwouldbebarredby therelevantstateof limitationsifsuchclaim werebroughtinthe Courtofcompetentjurisdiction. Ifatthetimeademandforarbitrationismadeoranelectionor noticeof intentiontoarbitrate isserved,theclaims soughttobearbitratedwouldhavebeenbarredbytherelevant statuteoflimitationsorothertimebar, anypartyto thisagreementassert the limitationas abar tothearbitration by applying toanycourt ofcompetentjurisdiction. Thefailure toassertsuch barbyapplication toacourt,however,shallnotpreclude its assertion before the arbitration.

ScheduleA
1. Consultantshallrendermarketing,creativedesignandproductionincludinggraphic, videoandphoto productionandothergeneral businessadvice,including, withoutlimitation,advicerelatingtocorporatebudgeting, operations,finance,andbanking mattersforthebenefit andgrowthofthe Companyasmaybe reasonably requested byCompany.
2. Consultant shall work in California asanindependentcontractor.

ScheduleB
1. The Company, Co-Signer,Inc.shallcompensate Consultant 2,500,000 shares oftheCompany’scommon stockbygrant, vested immediately,for services tobe renderedforthenext12 consecutivemonths.In addition, the Company shallissue2,000,000 warrantsofwhich 1,000,000 warrants shallhaveastrikepriceof$.075per shareforaperiodof 5years and 1,000,000warrants shallhaveastrikepriceof$.10per sharefora periodof7years.
2. Consultant’scompensationshall be deemed restrictedperSEC Rule 144for6months andshallbeissuedimmediatelyby the Company upon executionof this ConsultingAgreement.
