Charles J. Kalina, IIIConsultantAgreementwith Co-Signer, Inc.
ThisAgreement,effectiveasofJanuary2,2014(hereinafter“EffectiveDate”,isbetweenCo-Signer,Inc.anditssubsidiariesandaffiliatedentities,(hereinafterthe“Company”)andMr.CharlesJ.Kalina,III,(hereinafterthe“Consultant”)who hereby agreesto provide consultingservices asfollows:
1. ScopeandDuties.ConsultantshallprovideCompanywithconsultingservicesonanon-exclusivebasisasdefined inSchedule A.
2. TermofAgreement.TheCompanyshallretainConsultanttoprovideitsnon-exclusiveconsultingservicestotheCompanyandConsultantherebyagreestoprovidesuchnon-exclusiveconsultingservicestotheCompanyduringtheterm(the“Term”)commencingontheEffectiveDateandendingonthefirstanniversaryofsuchdate,andautomaticallyrenewingforatwelve(12)monthtermthereafter,subject tocancellationuponthirtyday writtennoticebyeitherparty.TerminationshallnotaffecttheobligationoftheCompanytocompensatetheConsultantwith feespayableundersection 4andScheduleB.
3. PersonalServices.ConsultantshallprovidetheservicesdescribedinthisAgreementpersonallyandnotthroughanyotheraffiliatedpersonorentity,employee,subcontractororagentofConsultantwithoutthe express priorwritten consentofthe Company.
4. RemunerationtoConsultant.AsfullandtotalconsiderationforConsultant’sservicesdescribedherein, the Company shall:
a. CompensatetheConsultantforanycorporatemarketingandbusinessconsultingactivitythatthe Companyundertakes as setforthinScheduleB., attached heretoandmadeapart hereof:
b. ReimburseConsultantforanyout-of-pocketexpensesthathavebeenpre-approvedbytheCompanyduringtheTermforexpensesactuallyincurredbyConsultantinconnectionwiththeperformanceof Consultant’sservicesonbehalf of the Companyhereunder.
5. IndependentContractor.ConsultantandCompanyacknowledgethatConsultantisanindependentcontractorandshallneitherbeconstruednorrepresentedtobeanemployeeofCompany.Itisagreedandunderstood,subjecttoanyseparateconfidentialityagreementwiththeCompany,thatConsultantreserves theright, as anon-exclusiveengagement, toengageinotherconsultingactivities eitheronits ownbehalforonbehalfofotherpersonsorentitiesbywhomConsultantmaybeengagedeitherduring or followingthe termsofthis Agreement.
6. General.
6.1 EntireAgreement.EachpartyacknowledgesthatithasreadthisAgreement,understandsit,andagreestobeboundbyitsterms,andfurtheragreesthatthisAgreement(includingtheaccompanyingSchedulesattachedhereto)embodiesthecompleteandexclusivestatementoftheagreementbetweentheparties,which supersedesand replacesall priorproposals,understandingsand all otheragreements,oral and written, between the parties.
6.2 BindingEffect.ThisAgreementshallbindandinuretothebenefitoftheparties,theirrespectiveheirs, personal representatives, subsidiaries, legal successorsandassigns.
6.3 Severability.IfanypartsofthisAgreementarefoundtobevoidorunenforceable,theremainingprovisionsshall nevertheless be bindingwiththe same effect as though the voidpartswere deleted.
6.4 Governing Law.ThisAgreementandperformancehereundershallbegovernedbythelawsoftheState of Nevada, in the jurisdiction of ClarkCountyforall courtsystemstherein.
6.5 GrammaticalUsage.InconstruingthisAgreement,femininepronounsshallbesubstitutedforthosemasculineinform(andviceversa),andpluraltermsshallbesubstitutedforsingularandsingularforplural,inanyplace where the contextsorequires.
6.6 Captions.ThecaptionstothisAgreementareinsertedonlyforpurposesofconvenientreferenceandinnowaydefine,limit or prescribethe scopeorintent of this Agreement orany parthereof.
6.7 Counterparts.ThisAgreementmaybeexecutedinseveralcounterparts,eachofwhichshallbeconsideredalegaloriginalforallpurposes.Anyfullysignedcounterpartmaybeintroducedintoevidencein anyactionor proceeding withouthaving to producetheothers.
6.8 Modification or Waiver.
(a) Modification.ThisAgreementmayonlybechanged,modifiedorrescindedbywritteninstrument signedbyall parties.
(b) Waiver.AnywaiverofthisAgreementshallnotbeeffectiveunlessmadeinawritingsignedbythepersonagainstwhomtheenforcementofsuchwaiverissought.Awaivergiveninanycaseshallonlyapplytothatparticularactoromission,andshallnotbeeffectiveastofurtheractsoromissions, regardlessof whethertheyareof the same or similarnature.
6.9 Notices.Allnoticesrequiredtobegivenpursuantheretoshallbegiventothepartiesattheiraddressessetforthherein,oratsuchotheraddressesapartymayspecifyforareceiptofnotice.Allnoticeswillbedeemedsufficientlygivenif:(i)sentbyFederalExpressor otherovernightcourierserviceprovidingwrittenevidenceofdelivery;(ii)ifbyregisteredorcertifiedmail,postageprepaid,returnreceipt requested; (iii) or sent by facsimileandconfirmedbyfirst classmail.

6.10 LegalFees.IntheeventofanylegalactionorarbitrationinvolvingthisAgreement,theprevailingpartyinsuchproceedingshallbeentitledtoanawardofreasonableexpenses,includingattorney’sfees,disbursementsandexpensesofexperts,asmaybeawardedbytheCourtorbytheArbitrationpanelinits determination.
6.11 Arbitration.ThePartiesspecificallyagreethatanycontroversyor dispute whichmayarise betweenthebuyerandsellerconcerninganytransactionortheconstructionorbreachofthisagreementshallbesettledbyarbitration.AnyarbitrationshallbepursuanttotherulesthenapplyingtoJAMS/Endispute(“JAMS”),excepttotheextentsetforthherein.Thearbitrationpanelshallconsistofatleastthree(3)individuals,withatleastonehavingknowledgeofinvestmentandadvisoryactivities. ThePartiesagree that any arbitrationproceedingpursuant to thisprovisionshall beheld in alocation asdetermined by therulesofJAMS.Thewardofthearbitrator shall be final andbinding on theParties andjudgmentuponthe awardrendered may beentered into in anycourt, state or federal havingjurisdiction.
TheagreementtoarbitratedoesnotentitlethePartiestoobtainarbitrationofclaimthatwouldbebarredbytherelevantstateoflimitationsifsuchclaimwerebroughtintheCourtofcompetentjurisdiction.Ifatthetimeademandforarbitrationismadeoranelectionornoticeof intentiontoarbitrateisserved,theclaimssoughttobearbitratedwouldhavebeenbarredbytherelevantstatuteoflimitationsorothertimebar, anypartyto thisagreementassert the limitationas abar tothearbitration by applying toanycourt ofcompetentjurisdiction.Thefailure toassertsuchbarbyapplicationtoacourt,however,shallnotpreclude its assertion before the arbitration.

1. Consultantshallrendercorporatefinancial,budgetingandcapitalraisingadviceincludingpolicies,proceduresandcontactsandothergeneralbusinessadvice,including,withoutlimitation,advicerelatingtocorporateoperationsandbankingforthebenefitandgrowthoftheCompanyasmaybereasonablyrequested byCompany.
2. Consultant shallworkin New Jerseyas an independent contractor.
ScheduleB
1. The Company, Co-Signer,Inc.shallcompensateConsultant 2,000,000 warrantsfor commonshares ofthe Companyataper sharepriceof$.05for5 years from the Effective Date, vested immediately, forservicesto be rendered for the next 12 consecutivemonths.
2. Consultant’scompensationshall be deemed restrictedperSECRule 144for6months andshallbeissuedimmediately by the Company upon executionof this ConsultingAgreement.
