Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 22, 2017, Liyuan Woo notified Cachet Financial Solutions, Inc. (the “Company”) of her decision to resign from the Company’s Board of Directors, effective immediately. At the time her resignation, Ms. Woo was the chairperson of the Audit Committee and a member of the Corporate Governance Committee. Ms. Woo’s resignation was the result of a conflict of interest between the Company and her new employer and not due to any disagreement with the Company or any of its directors or executive officers.
