Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On April 7, 2017, Cachet Financial Solutions, Inc. filed a Certificate of Amendment to the Amended and Restated Certificate of Incorporation with the Secretary of State of the State of Delaware to change our name to “Digiliti Money Group, Inc.” effective as of April 7, 2017 (the “Name Change”). A copy of the Certificate of Amendment is attached hereto as Exhibit 3.1 and incorporated herein by reference. In connection with the Name Change, on April 7, 2017 we changed the name of our operating subsidiary to “Digiliti Money, Inc.”
Commencing on Monday, April 10, 2017 our common stock will trade on the Nasdaq Capital Market under the ticker symbol “DGLT.”
