Explanation of Responses:

1. Grant of a Restricted Stock Award of the Company's common stock issued pursuant to the Sharps Compliance Corp. 2010 Stock Plan and the Executive Compensation and Incentive Plan. The Restricted Stock Award is subject to the terms and conditions of the underlying Restricted Stock Award Agreement and vests as follows: 4,052 shares of the Restricted Stock shall vest on each of July 1, 2022, July 1, 2023, July 1, 2024 and July 1, 2025. As the Restricted Stock Award vests, the Reporting Person expects a portion of the shares to be withheld to satisfy tax liabilities.
