This Schedule 14D-9 filing consists of certain communications relating to the proposed acquisition of Principia Biopharma Inc. (“Principia”) by Sanofi, a French société anonyme (“Sanofi”) pursuant to the terms and subject to the conditions of an Agreement and Plan of Merger, dated as of August 16, 2020 (the “Merger Agreement”) by and among Principia, Sanofi and Kortex Acquisition Corp., a Delaware corporation and wholly owned subsidiary of Sanofi (“Purchaser”). Pursuant to the Merger Agreement, Purchaser will commence a cash tender offer (the “Offer”) to purchase all of the issued and outstanding shares of Principia common stock, for $100.00 per share in cash.
