The reporting person undertakes to provide to New York Community Bancorp, Inc., any security holder of New York Community Bancorp, Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares at each separate price within the ranges set forth in this footnote

2. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $24.75 to $24.87, inclusive. The reporting person undertakes to provide to New York Community Bancorp, Inc., any security holder of New York Community Bancorp, Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares at each separate price within the ranges set forth in this footnote.

3. The number of shares held by RAR Trust includes certain shares that were previously held by Stock Awards and that have subsequently vested.

4. The remaining 2,163 shares, granted under Stock Award IX on January 29, 2020 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in three equal annual installments commencing on January 29, 2023.

5. The remaining 600 shares, granted under Stock Award VII on February 15, 2018 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest on February 15, 2023.

6. The remaining 1,200 shares, granted under Stock Award VIII on March 1, 2019 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in two equal annual installments commencing on March 1, 2023.

7. 9,434 shares granted under Stock Award XI on January 25, 2022 pursuant to the New York Community Bancorp, Inc. 2020 Omnibus Incentive Plan, will vest on January 25, 2023.
