Explanation of Responses:

1. These shares were granted under the New York Community Bancorp, Inc. 2020 Omnibus Incentive Plan and will vest, on the first anniversary of the grant date, on January 24, 2024.

2. The number of shares held by RAR Trust includes certain shares that were previously held by Stock Awards and that have subsequently vested.

3. The remaining 2,163 shares, granted under Stock Award IX on January 29, 2020 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in three equal annual installments commencing on January 29, 2023.

4. The remaining 600 shares, granted under Stock Award VII on February 15, 2018 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest on February 15, 2023.

5. The remaining 1,200 shares, granted under Stock Award VIII on March 1, 2019 pursuant to the New York Community Bancorp, Inc. 2012 Stock Incentive Plan, will vest in two equal annual installments commencing on March 1, 2023.
