Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 20, 2015, the board of directors of Roundy’s, Inc. (the “Company”) adopted an amended and restated Severance Pay Plan (the “Plan”). The Plan covers each of the Company’s executive officers and provides them with severance payments and benefits materially consistent with those provided under the Company’s previous severance pay plan, except for certain changes to the definition of Change of Control. The foregoing description of the Plan is qualified in its entirety by reference to the Plan, which is filed as Exhibit 10.1 hereto and is incorporated herein by reference.
