On June 1, 2022, Jin Xuan Luxury Tourism (Hainan) Digital Technology Co., Ltd. ("JX Hainan"), a subsidiary of JX Luxventure Limited (the “Company”), entered into and executed a Technology Consulting Agreement (the "Agreement") with Tianjin City Wei Ka Technology Co., Ltd. (“Tianjin Wei Ka”). Pursuant to the Agreement, JX Hainan will provide technology consulting services to Tianjin Wei Ka by delivering a solution for a non-fungible token (NFT)-based virtual human host to be used on live stream platforms. An English translation of the Agreement is filed herewith as Exhibit 10.1.
On June 2, 2022, the Company issued a press release with respect to the Agreement, which is furnished herewith as Exhibit 99.1.
