On July 26, 2022, Jin Xuan (Hainan) Holding Co., Ltd. (“JX Hainan”), a subsidiary of JX Luxventure Limited (the “Company”), entered into and executed a Cooperation Agreement (the “Agreement”) with Kaiwo International Trading Co. Ltd. (“Kaiwo”). Pursuant to the Agreement, Kaiwo will sell high-end foreign luxury automobiles supplied by JX Hainan in the amount of up to USD50,000,000. An English translation of the Agreement is filed herewith as Exhibit 10.1.
On July 26, 2022, the Company issued a press release with respect to the Agreement, which is furnished herewith as Exhibit 99.1.
