Item 8.01. Other Events.
On June 14, 2013, RCS Capital Corporation (the “Company”) issued a press release announcing the quarterly cash dividend for the second quarter of 2013 for its Class A common stock, par value $0.001 per share, pursuant to prior authorization from its board of directors. The quarterly cash dividend will be paid on July 10, 2013 to record holders of the Company’s Class A common stock at the close of business on June 28, 2013 in an amount equal to $0.18 per share.
The Company’s board of directors previously approved an annual cash dividend of $0.72 per share to be paid quarterly in an amount equal to $0.18 per share on the seventh business day of each quarter to record holders at the close of business on the last business day of the previous quarter, in respect of the previous quarter.
A copy of the press release announcing the Company’s second quarter 2013 dividend is attached hereto as Exhibit 99.1.
