A description of the shares of beneficial interest, no par value, of the Principal International Adaptive Multi-Factor ETF, Principal U.S. Large-Cap Adaptive Multi-Factor ETF, and Principal U.S. Small-Cap Adaptive Multi-Factor ETF, a separate series of Principal Exchange-Traded Funds (the "Trust) to be registered hereunder is set forth in Post-Effective Amendment No. 100 to the Trust's Registration Statement on Form N-1A (File Nos. 333-201935; 811-23029), as filed on April 26, 2021, which description is incorporated herein by reference as filed with the Securities and Exchange Commission.
