Explanation of Responses:

1. On November 14, 2013 ("Date of Grant"), the Reporting Person was granted qualified stock options by UBL Interactive, Inc., (the "Issuer") under the 2010 Omnibus Equity Incentive Plan of the Issuer (the "2010 Plan") to receive three year stock options to purchase 600,000 shares of the Issuer's common stock, par value $0.01 per share (the "Common Stock"), subject to the following vesting dates: (i) options to purchase 200,000 shares are fully vested and exercisable as of the Date of Grant; (ii) options to purchase 200,000 shares are fully vested and exercisable as of June 1, 2015; (iii) options to purchase 200,000 shares shall fully vest and become exercisable thereof as of June 1, 2016.
