Explanation of Responses:

1. Represents grant of Restricted Stock Units payable solely in common stock of the Issuer that vest upon the earlier of (i) one day prior to the date of the Issuer's annual meeting of stockholders to be held in 2022 or (ii) June 3, 2022. Shares will be delivered to Reporting Person on such vest date.

2. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on March 5, 2021.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $11.30 to $11.44, inclusive.
