| ITEMS OF BUSINESS | | | (1) Election of three Class III directors to hold office until the 2020 annual general meeting of shareholders; (2) The appointment of Ernst & Young LLP, an independent registered public accounting firm, as our independent auditor to serve until the 2018 annual general meeting of shareholders and to authorize our Board of Directors, acting by the Audit Committee, to determine the independent auditor’s remuneration; (3) The approval of an amendment to the James River Group Holdings, Ltd. 2014 Long-Term Incentive Plan and re-approval of the material terms of the performance goals under such plan for tax deductibility purposes; and (4) Any other business as may properly come before the annual general meeting of shareholders and any adjournments or postponements thereof. | |
