Explanation of Responses:

1. The Reporting Person sold an aggregate of 134,063 shares ("Shares") of common stock of the issuer at the purchase price of $0.017 per share to Zhong Hui Holding Limited ("ZHHL") pursuant to certain Securities Assignment Agreement dated January 15, 2016. The Shares were previously purchased by the Reporting Person from ZHHL at the same purchase price in June 2015.
