On April 8, 2019, Versum Materials, Inc. (the “Company”) issued a press release announcing that the Company’s Board of Directors has received a revised proposal from Merck KGaA to acquire the Company for $53.00 per share in cash and such proposal constitutes a “Superior Proposal” as defined in the Company’s previously announced merger agreement with Entegris, Inc. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
