On April 30, 2019, Versum Materials, Inc. issued a press release announcing the record date of May 13, 2019 for a special meeting of its stockholders to consider and vote on various proposals necessary to approve the previously announced definitive agreement with Merck KGaA, Darmstadt, Germany to acquire Versum Materials. A copy of the press release is attached as Exhibit 99.1 hereto and is hereby incorporated by reference.
