Explanation of Responses:

1. The reported Class A ordinary shares were purchased as Private Placement Shares by ABG Acquisition Holdings I LLC for $10.00 per share, as described in the Issuer's registration statement on Form S-1 (File No. 333-252621).

2. ABG Acquisition Holdings I LLC is the record holder of the shares reported herein. Fan Yu and Andrew Chee On Pang are the managers of ABG Acquisition Holdings I LLC and together have voting and investment discretion with respect to the ordinary shares held of record by ABG Acquisition Holdings I LLC. Mr. Yu has sole discretion with respect to the appointment and replacement of managers.

3. The reporting person did not previously report this transaction due to an administrative oversight.
