Explanation of Responses:

1. This Form 4 reflects the surrender to the Issuer of 3,668,749 Class B ordinary shares (the "Class B Shares") and 501,300 Class A ordinary shares for no consideration by ABG Acquisition Holdings I LLC pursuant to a Share Surrender Letter, dated March 1, 2023, by and between the Issuer and ABG Acquisition Holdings I LLC.

2. ABG Acquisition Holdings I LLC is the record holder of the shares reported herein. Fan Yu and Andrew Chee On Pang are the managers of ABG Acquisition Holdings I LLC and together have voting and investment discretion with respect to the ordinary shares held of record by ABG Acquisition Holdings I LLC. Mr. Yu has sole discretion with respect to the appointment and replacement of managers.

3. The Class B Shares would have automatically converted into Class A ordinary shares of the Issuer at the time of the Issuer's initial business combination, or earlier at the option of the holder, on a one-for-one basis, with no expiration date.
