1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions ranging from $29.04 to $29.16, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth above.

2. The option, representing a right to purchase a total of 9,819 shares, becomes exercisable in four equal annual installments beginning on July 1, 2017, which was the first anniversary of the date on which the option was granted.
