Explanation of Responses:

1. These shares of unvested restricted stock were forfeited due to a failure to achieve a specific level of performance required for vesting over the performance period beginning on January 1, 2017 and ending on December 31, 2019.

2. Shares withheld by the Company for the payment of tax liability incident to the vesting of shares of restricted stock.

3. Represents common stock of the issuer acquired upon settlement of a performance-based restricted stock unit award previously granted to the Reporting Person.

4. These shares represent a restricted stock unit award of which approximately 50% immediately vested. The remainder will vest on the first anniversary date of the grant.
