On December 4, 2019, Alcoa Corporation (the “Company”) issued a press release announcing additional actions that will reduce the Company’s pension and other postemployment benefits (OPEB) liabilities by approximately $190 million, before remeasurements for the affected plans, in the fourth quarter 2019. As a result of the actions, the Company will record a non-cash settlement charge of approximately $75 million (pre- and after-tax), or $0.40 per share, in the fourth quarter of 2019. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
