1. Open market sale of the redeemable warrants

2. As mentioned in the Form 3 submitted by the Reporting Person on 5/23/2023, the Reporting Person became a 10% beneficial owner solely due to the redemption of 19,978,574 Class A ordinary shares by shareholders as announced by the Issuer in the Form 8-K filed on 5/16/2023 (the "Redemptions"). The Reporting Person has only executed the reported transaction, disposing of all warrants owned, since the Form 3 filing.
