Press Release and Investor Presentation
On April 5, 2019, VICI Properties Inc., a Maryland corporation (together with its subsidiaries, the “Company”), issued a press release announcing the entry into the JACK Cincinnati Acquisition (as defined below) and posted an investor presentation relating to the transaction to its website under the “Investors” tab, subheading “Events and Presentations.” A copy of the press release and the investor presentation are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, and are incorporated by reference into this Item 7.01.

Purchase of JACK Cincinnati Casino Property
On April 5, 2019, the Company and a subsidiary of Hard Rock International (“Hard Rock”) entered into definitive agreements to acquire the JACK Cincinnati Casino (“JACK Cincinnati Casino”), located in Cincinnati, Ohio from affiliates of JACK Entertainment LLC, for approximately $745 million in cash (the “JACK Cincinnati Acquisition”). Pursuant to the agreements, the purchase price payable by the Company in connection with the acquisition of 100% of the membership interests of a subsidiary of JACK Cincinnati Casino LLC that owns the land and real estate assets of the JACK Cincinnati Casino is $558 million, and the purchase price payable by Hard Rock in connection with the acquisition of the operating assets of the JACK Cincinnati Casino is $187 million. Simultaneous with the closing of the JACK Cincinnati Acquisition, the Company will enter into a triple-net lease agreement for the JACK Cincinnati Casino with a subsidiary of Hard Rock. The lease will have an initial total annual rent of $42.75 million and an initial term of 15 years, with four five-year tenant renewal options. The tenant’s obligations under the lease will be guaranteed by Seminole Hard Rock Entertainment Inc. The closing of the JACK Cincinnati Acquisition is subject to customary closing conditions, including regulatory approvals.
