Explanation of Responses:

1. This amended Form 4 (this "Report") amends the initial Form 4 filed with the Securities and Exchange Commission on May 15, 2020 (the "Initial Report") to revise footnote 1 to the Initial Report. Such footnote inadvertently referred to an incorrect amount for the reporting person's profits realized in connection with the reported short-swing transactions. See footnote (2) for further details.

2. The reporting person's purchase of the issuer's common stock reported herein was matchable under Section 16(b) of the Securities Exchange Act of 1934, to the extent of 6,666 shares, with the reporting person's sale of 5,000 shares of the issuer's common stock at a price of $6.82 per share on February 28, 2020 and 1,666 shares of the issuer's common stock at a price of $6.71 per share on February 28, 2020. The reporting person has agreed to pay to the issuer, upon settlement of the purchase, $8,694.46 (of which $3,211.62 has already been previously paid), representing the full amount of the profit realized in connection with the short-swing transaction plus interest of 3.25% per annum on such previously unpaid amounts, less transaction costs.

3. Dr. Dhaduk owns 1,995.2520 shares individually which includes 15.9570 shares acquired in March 2020 pursuant to the Issuer's Dividend Reinvestment and Stock Purchase Plan ("DRP"); and 42,856 shares jointly with his spouse.
