Explanation of Responses:

1. The reported transactions involved an amendment of an outstanding warrant, resulting in the deemed cancellation of the original warrant and the grant of an amended warrant, and the full exercise of the amended warrant for cash. The reporting person no longer has a reportable beneficial interest in 5,294,070 shares of the issuer's common stock owned by the reporting person's children and included in certain prior ownership reports of the reporting person.
