Item 8.01. Other Events

Caterpillar Inc. (the “Company”) announced that it and Bucyrus International, Inc. (“Bucyrus”) have each received a second request for information from the Antitrust Division of the United States Department of Justice under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The request relates to the pending acquisition of Bucyrus by the Company.  The announcement is filed herewith as Exhibit 99.1 and incorporated by reference herein.
