On April 11, 2012, the Board of Directors (“Board”) of Caterpillar Inc. (“Company”) elected Jon M. Huntsman, Jr., as an independent director with a term expiring at the annual meeting of shareholders in 2012. Mr. Huntsman's election was disclosed in a Form 8-K filed on April 12, 2012.
This Amendment No. 1 is being filed to report that on June 13, 2012, following his election by shareholders to serve as a director for a one-year term, the Board appointed Mr. Huntsman to serve as a member of its Public Policy Committee.
