Item 7.01 Regulation FD Disclosure
As previously disclosed, on June 13, 2023, Prospector Capital Corp., a Cayman Islands exempted company (“Prospector”), LeddarTech Inc., a corporation existing under the laws of Canada (“LeddarTech”) and LeddarTech Holdings Inc., a company incorporated under the laws of Canada and a wholly owned subsidiary of LeddarTech (“Newco”), entered into a Business Combination Agreement, as amended on September 25, 2023 (as the same may be amended, supplemented or otherwise modified from time to time) (the transactions contemplated by such agreement, the “Business Combination”).
Furnished as Exhibit 99.1 hereto and incorporated into this Item 7.01 by reference is a revised investor presentation, dated November 13, 2023 that Prospector and LeddarTech have prepared for use in connection with the Business Combination.
