Investment Advisory Agreement
On September 24, 2020, the Company entered into the investment advisory agreement with the Adviser, which was amended and restated on February 1, 2021, (as amended and restated, the “Investment Advisory Agreement”). Pursuant to the Investment Advisory Agreement, we pay the Adviser a base management fee for investment advisory and management services. In addition, we reimburse the Adviser for certain expenses it incurs on our behalf. Members of our senior management also serve as principals of other investment managers affiliated with our Adviser that manage, and may in the future manage, investment funds, accounts or other investment vehicles with investment objectives similar to ours. The Investment Advisory Agreement was most recently approved by the Board, including a majority of the Independent Directors, for renewal for an additional one-year term in August 2022.
For the year ended December 31, 2022, base management fees were $1,169. As of December 31, 2022, $325 was payable to the Adviser relating to base management fees.
Administration Agreement
On September 24, 2020, the Company entered into the administration agreement with our Administrator, which was amended and restated on February 1, 2021 (as amended and restated, the “Administration Agreement”). We do not currently have any employees. We pay no compensation directly to any interested director or executive officer of the Company. We pay our Administrator our allocable portion of certain expenses incurred by our Administrator in performing its obligations under the Administration Agreement. Our Administrator is reimbursed for certain expenses it incurs on the Company’s behalf. The Administration Agreement was most recently approved by the Board, including a majority of the Independent Directors, for renewal for an additional one-year term in August 2022.
Our Administrator, pursuant to a sub-administration agreement, has engaged State Street Bank and Trust Company, to act on behalf of our Administrator in the performance of certain other administrative services for us.
For the year ended December 31, 2022, the Company incurred $0 in expenses under the Administration Agreement which were recorded in administrative service expenses in the Consolidated Statements of Operations included in the Annual Report. As of December 31, 2022, $0 was unpaid and included in payable to affiliate in the Consolidated Statements of Assets and Liabilities in the Annual Report.
Expense Support Agreement
On December 31, 2019, the Company entered into an expense support and waiver agreement (the “Expense Support and Waiver Agreement”) with the Adviser. Under the terms of the Expense Support and Waiver Agreement, the Adviser agreed to waive any reimbursement by the Company of offering and organizational expenses to be incurred by the Adviser on behalf of the Company in excess of $1,000 or 0.10% of the aggregate capital commitments of the Company, whichever is greater. If actual organization and offering costs incurred exceed the greater of $1,000 or 0.10% of the Company’s total capital commitments, the Adviser or its affiliate will bear the excess costs.
For the year ended December 31, 2022, the Company incurred $0, towards organization cost and amortization of offering cost. These costs did not exceed the Investment Adviser reimbursement threshold, and as a result, no excess organization and offering costs were waived. As of December 31, 2022, no organization and offering costs were included in payable to affiliates and accrued expenses and other liabilities in the Consolidated Statements of Assets and Liabilities.
Review, Approval or Ratification of Related Party Transactions
The Audit Committee conducts quarterly reviews of any potential related party transactions brought to its attention and, during these reviews, it also considers any conflicts of interest brought to its attention
