Item 2.02 Results of Operations and Financial Condition.
On May 15, 2023, Mondee Holdings, Inc. (the "Company") announced financial results for its first quarter ended March 31, 2023, in a press release (the "Press Release") that is attached hereto as Exhibit 99.1, which is incorporated herein by reference. Attached hereto as Exhibit 99.2 is a presentation regarding the Company’s financial results for its first quarter ended March 31, 2023, which is incorporated herein by reference (the "Investor Presentation").
The Company held a conference call (the "Conference Call") on May 15, 2023 at 8:30 a.m. ET to present the Investor Presentation, discuss its financial results for its first quarter ended March 31, 2023, and provide forward-looking financial guidance. A copy of the transcript of the Conference Call is attached hereto as Exhibit 99.3 and is incorporated herein by reference.
The Press Release and Investor Presentation include non-GAAP financial measures as defined in Regulation G of the Sarbanes-Oxley Act of 2002. The Press Release and Investor Presentation also include a presentation of the most directly comparable financial measures calculated and presented in accordance with accounting principles generally accepted in the United States (“GAAP”), information reconciling the non-GAAP financial measures to the GAAP financial measures, and a discussion of the reasons why the Company’s management believes that presentation of the non-GAAP financial measures provides useful information to investors regarding the Company’s financial condition and results of operations. The non-GAAP financial measures presented therein should be considered in addition to, and not as a substitute for, or superior to, financial measures calculated and presented in accordance with GAAP.
