Item 8.01 Other Events.
On February 4, 2025, TransCode Therapeutics, Inc. (the “Company”) convened a special meeting of stockholders (the “Special Meeting”) to vote upon the proposals set forth in the definitive proxy statement on Schedule 14A filed by the Company with the Securities and Exchange Commission on December 30, 2024 (the “Proxy Statement”). There were 156,675 shares of the Company’s common stock, par value $0.0001, present or represented by proxy at the Special Meeting, which did not constitute a quorum under the Company’s bylaws.
Accordingly, the Special Meeting was adjourned without any business being conducted in order to allow time to achieve a quorum and to allow the Company’s stockholders additional time to vote on the proposals described in the Proxy Statement. Accordingly, the Special Meeting was adjourned and as announced at the Special Meeting, such meeting will reconvene again at 9:30 a.m. Eastern Time on February 25, 2025, virtually at www.virtualshareholdermeeting.com/RNAZ2025SM. During the period of adjournment, the Company will continue to solicit stockholder votes. The record date for the determination of stockholders of the Company entitled to vote at the adjourned Special Meeting remains the close of business on December 17, 2024.
On February 4, 2025, the Company issued a press release announcing that it had adjourned the Special Meeting. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K, which is incorporated by reference.
