Explanation of Responses:

1. Consists of restricted stock units, which vest in quarterly installments over a four year period beginning on March 1, 2022, with 10% of the total award vesting in year one, 20% in year two, 40% in year three, and 30% in year four, in each case so long as the Reporting Person provides continuous services to the Issuer. Each restricted stock unit represents a right to receive one share of the Issuer's common stock upon vesting.
