Explanation of Responses:

1. Represents Class A ordinary shares of APX Acquisition Corp. I (the "Issuer", and such shares the "Class A Shares") acquired upon conversion of Class B ordinary shares of the Issuer (the "Class B Shares") at the election of Templar LLC.

2. The shares are owned directly by Templar LLC. Mr. Bransfield is the manager of Templar LLC. Mr. Bransfield disclaims beneficial ownership of the securities held by Templar LLC, except to the extent of his pecuniary interest therein.

3. The Class B Shares have no expiration date and will automatically convert into Class A Shares at the time of the initial business combination of the Issuer, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment as set forth in the Issuer's registration statement on Form S-1 (File No. 333-261247).
