Explanation of Responses:

1. This Form 3 amendment is being filed to correct the original Form 3, filed on May 15, 2023, which omitted the unvested restricted stock units (RSUs) owned by the reporting person. All of the reported shares are RSUs, each of which represents a contingent right to receive one share of ONTO common stock. The RSUs vest on an annual basis, in equal 1/3rd increments, over a three-year period from the award date, which was October 3, 2022.
