(e) On August 1, 2007, the Compensation Committee of Bancinsurance Corporation (the "Company") awarded Daniel J. Stephan, Senior Vice President of Ohio Indemnity Company (the Company’s wholly-owned property/casualty insurance company), a discretionary cash bonus award in the amount of $50,000 in consideration for his personal performance related to business and product development for the Company’s lender/dealer product lines.
