On April 22, 2004, the Registrant, jointly with SourceOne Healthcare
Technologies, Inc. ("SourceOne"), announced that Del Medical Systems
Group, a unit of the Registrant, and SourceOne have signed a contract
giving SourceOne nationwide marketing, distribution and service rights
to the Registrant's industry-leading radiography and imaging systems
product lines. For additional information, reference is made to the
press release which is attached hereto as Exhibit 99.01 and
incorporated herein by reference.
