Item 8.01. Other Events
On September 18, 2007, R.H. Donnelley Corporation (the “Company”) issued a press release announcing that it intends to offer $650 million of its series A-4 senior notes to certain institutional investors in an offering exempt from the registration requirements of the Securities Act of 1933. Pursuant to Rule 135c of the Securities Act of 1933, the Company is filing herewith the press release issued September 18, 2007 as Exhibit 99.1 hererto.
All of the senior notes to be offered have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
