I want to share with you some important news regarding Xcerra. Cohu, Inc., a leading provider of semiconductor test handling, inspection and contactor products based in Poway, CA has offered to purchase all of the outstanding shares of Xcerra for a value of $13.92 per share through a combination of cash and stock, and our Board of Directors has agreed to the transaction. The combination of Xcerra and Cohu will create a larger and more diversified company that is expected to benefit our shareholders, employees and customers. The combined entity will have the necessary scale to become a major player in theback-end process of semiconductor manufacturing, specifically semiconductor device testing. The combined company sales were over $800 million for the trailing 12 months.
An integration planning team comprised of Xcerra and Cohu executives will carefully analyze the operations of our two companies to ensure we are best structured to succeed in the marketplace. The integration planning process is beginning now with the goal to announce the product strategy and roadmap shortly after the close of the transaction, which we expect to occur in the second half of the calendar year. Until the transaction closes, it will be business as usual: we must continue to operate independently. There is no change to how the management team from Xcerra will be operating the business until the transaction closes and I expect each of you to approach your work the same way.
In the coming months, we will update you on the progress that we are making toward closing this transaction. You can all be proud of our execution and results over the past several years. It was this performance that put us in position to take a transformational leap forward in size and scale. The future of the combined company burns bright and the new opportunities in front of us have never been more plentiful.
